Current report no 23 /2010 dated 11 August 2010 r.: Notification on the change in shareholding in Cinema City International NV

Cinema City International N.V. with its corporate seat in Amsterdam, The Netherlands, (the "Company") gives notification that on 11 August 2010 the Company received from Aviva Powszechne Towarzystwo Emerytalne Aviva BZ WBK SA (the “Aviva OFE”) the following notification:

“Pursuant to Article 69.2.1.a and Article 69.4 of the Act of 29 July 2005 on Public Offerings and the Conditions Governing the Admission of Financial Instruments to an Organized Trading System and Public Companies (Journal of Laws No. 184 item 1539), we inform you that following the disposal of shares of the Company Cinema City International N.V. (the Company) with its corporate seat in Amsterdam, The Netherlands, made on August 2, 2010, Aviva Otwarty Fundusz Emerytalny Aviva BZ WBK SA (the “Aviva OFE”), having in the previous notification 12.78% of the total number of votes in the Company, decreased the number of shares held in the Company by at least 2 percent of the total number of votes.

Before the settlement of the above mentioned transactions as at August 4, 2010 Aviva OFE held 5 535 647 shares of the Company, which constituted over 10.81 percent of the Company’s share capital (issued shares) and it was authorized to 5 535 647 votes at a shareholders meeting, which constituted over 10.81 percent of the total number of votes.

Following the transactions and the settlements of these transactions, described above, as at August 5, 2010, Aviva OFE held 5 415 647 shares of the Company constituting close to 10.58% of the Company’s share capital (issued shares) and authorizing to 5 415 647 votes at a shareholders meeting, which constituted close to 10.58 percent of the total number of votes.”

 


Legal grounds: Article 5:53 and subsequent of the Dutch Act of 28 September 2006 on rules regarding the financial .markets and their supervision (Act on Financial Supervision – Wft.) in conjunction with Article 70.1 of the Act on Public Offerings, Conditions governing the Introduction of Shares to Organized Trading and on Public Companies.
