Current report No. 44/2015 of 28 July 2015. Purchase of own shares in a public tender offer
The Board of Directors of Global City Holdings N.V., a company organized in the Netherlands and existing under the laws of the Netherlands, with its registered office in Amsterdam, the Netherlands (the “Company”), acting in reference to the Company’s current report No. 25/2015 dated 9 June 2015 announcing a public tender offer to subscribe for the sale of the Company’s own shares (the “Tender Offer”), hereby announces that on this date the Company was advised by the brokerage firm involved in the Tender Offer, i.e. IPOPEMA Securities S.A., that the transactions related to the purchase of 20,639,017 ordinary bearer shares in the Company executed on 27 July 2015 were settled on 28 July 2015.
As a result of the Tender Offer, the Company purchased a total of 20,639,017 ordinary bearer shares in the Company listed on the Warsaw Stock Exchange (Giełda Papierów Wartościowych w Warszawie) with a nominal value of EUR 0.01 each, representing 20,639,017 votes at the general meeting of the Company corresponding thus far to 42.27% of all of the effective votes at the general meeting of the Company (40.31% of all of the votes at the general meeting of the Company attached to the outstanding shares in the Company).
Prior to the settlement of the above-mentioned transactions, the Company held 2,370,724 own shares.
After the settlement of the transactions involving the purchase of own shares through the Tender Offer, the Company holds 23,009,741 own shares with a nominal value of EUR 0.01 each which do not entitle the Company to exercise any voting rights attached to such shares due to the fact that based on Article 118:7 of the Dutch Civil Code, the Company cannot exercise any of the votes attached to the shares in its own share capital held thereby (they represent 0% of all of the effective votes at the general meeting of the shareholders and 44.94% of all of the votes at the general meeting of the Company attached to the outstanding shares in the Company).
The Company does not exclude the possibility of purchasing a further number of shares within 12 months from this current report.
The Company’s subsidiaries do not hold shares in the Company.
