The acquisition of a significant block of shares in Cinema City International N.V.

The Board of Managing Directors of Cinema City International N.V. with its corporate seat in Amsterdam informs that on 6 February 2007 the Company received from ING Nationale -Nederlanden Polska Otwarty Fundusz Emerytalny the following notification:

"Acting in accordance with Art. 69.1.1 of the Act of 29 July 2005 on Public Offerings and Conditions Governing the Introduction of Financial Instruments to Organised Trading System and on Public Companies (Journal of Laws of 23 September 2005, No. 184, item 1539, as amended) we hereby inform that as a result of the acquisition of shares in Cinema City International N.V. (the "Issuer") in transactions on the Warsaw Stock Exchange that were settled on 2 February 2007 ING Nationale - Nederlanden Polska Otwarty Fundusz Emerytalny (the "Fund") became a holder of the Issuer's shares entitling it to over 5% of the total voting rights at the Issuer's general meeting of shareholders.

Prior to the acquisition of the shares the Fund held 2,506,019 (two million five hundred and six thousand and nineteen) shares in the Issuer's capital, constituting 4.94% of the share capital of the company and was entitled to 2,506,019 (two million five hundred and six thousand and nineteen) votes at the Issuer's general meeting of shareholders, representing 4.94% of the total voting rights.

On 5 February 2007, 2,616,914 (two million six hundred and sixteen thousand and nine hundred and fourteen) shares in the Issuer's share capital constituting 5.16% of the share capital were registered on the Fund's securities account. The above-mentioned shares entitled the Fund to exercise 2,616,914 (two million six hundred and sixteen thousand and nine hundred and fourteen) voting rights at the Issuer's general meeting of shareholders and represents 5.16 % of the total voting rights."

Legal grounds: Art. 70.1 of the Act of the Act of July 29, 2005 on public offerings and conditions governing the introduction of financial instruments to organised trading system and on public companies (Journal of Laws of 2005, No. 184 item 1539 as amended).
