Current report No. 12/2012 dated 23 November 2012: Appointment of the expert auditor of the Company for the 2012 financial year
The Management Board of Cinema City International N.V., with its registered office in Amsterdam, the Netherlands (the “Company”), hereby announces that on 22 November 2012 the decision of the Supervisory Board, made upon the recommendation of the Audit Committee and in accordance with resolution No. 5 of the General Meeting of Shareholders dated 21 June 2012, by the virtue of which Ernst & Young Accountants LLP, registered in England and Wales, with its registered office at Lambeth Palace Road 1, London SE1 7EU, United Kingdom, its principal place of business at Boompjes 258, 3011 XZ Rotterdam, the Netherlands and its postal address at Antonio Vivaldistraat 150, 1083 HP Amsterdam, the Netherlands was appointed as the independent auditor of the Company for the annual financial statement and annual consolidated financial statement for the 2012 financial, entered into force. The auditor was selected in accordance with all prevailing laws and requirements. Ernst & Young Accountants LLP is registered under No. 24432944 of the Chamber of Commerce in Rotterdam. The Company will execute an agreement with Ernst & Young Accountants LLP for the audit of the financial statement for the year 2012.
In the past, Ernst & Young has rendered general tax services to the Company.
In reference to current report No. 10/2012, the Company notes that KPMG Accountants NV, with its registered office in Amstelveen, the Netherlands, was appointed as the independent statutory auditor to audit the condensed consolidated interim financial statement. The audit by KPMG Accountants NV did not apply to the full financial year of 2012.
Legal grounds: Article 5:53 and following of the Dutch Act on Financial Supervision dated 28 September 2006 (Wft) and Article 56.1.2 of the Act on Public Offering, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies dated 29 July 2005, in connection with § 5 1.19 and § 25 of the Regulation of the Minister of Finance dated 19 February 2009 regarding current and interim reports published by issuers of securities and the terms of finding as equivalent the information required under the laws of any non-member state.
