Current report No. 17/2011 dated 30 September 2011: The completion of the reorganization of the Cinema City group in Poland
The management board of Cinema City International N.V. (the “Company”), in connection with current report No. 15/2011 dated 25 August 2011 concerning the process of reorganization of the Cinema City group in Poland, hereby announces that today it received notice that on 30 September 2011 the competent registry court issued the decisions on the entry into the Register of Business Entities of the National Court Register of the transformation of the Operational Companies referred to in current report No. 15/2011 dated 25 August 2011 into joint-stock partnerships (the “Transformed Partnerships”). The sole general partner authorized to represent the Transformed Partnerships and manage their affairs is CC Sp. z o.o., which is a wholly-owned subsidiary of the Company.
The registration of the above-mentioned transformations is the last step in the reorganization of the Cinema City group in Poland.
The current structure of the Cinema City group in Poland is as presented in the chart included in current report No. 15/2011 dated 25 August 2011.
Legal grounds: Article 5:53 and subsequent of the Dutch Act of 28 September 2006 on rules regarding the financial markets and their supervision (Act on Financial Supervision – Wft.) in conjunction with Article 56.1.1 and article 56.6 of the Polish Act on Public Offerings, Conditions governing the Introduction of Financial Instruments to Organized Trading and on Public Companies of 29 July 2005.
